Terms and Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the Sales Hub website, software platform, applications, and related ERP features (collectively, the “Platform”).
By creating an account, purchasing a subscription, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.
1. About Sales Hub
Sales Hub provides a cloud-based Enterprise Resource Planning (“ERP”) and business management platform designed to help organizations manage and automate their business operations.
Depending on the customer’s subscription, configuration, and implementation, the Platform may include functionality related to areas such as sales, customer relationship management, accounting, inventory, purchasing, human resources, operations, reporting, workflows, automation, artificial intelligence, and other business processes.
Available functionality may vary between plans, customers, industries, and configurations.
2. Eligibility and Business Use
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Platform.
If you use Sales Hub on behalf of a company or other organization, you confirm that you have the authority to accept these Terms on behalf of that organization.
The Platform is primarily intended for legitimate business and professional use.
3. User Accounts
Certain features require a registered account.
You are responsible for:
Providing accurate and current account information;
Maintaining the confidentiality and security of your account;
Controlling access granted to your employees, contractors, or other authorized users;
Ensuring that authorized users comply with these Terms; and
Promptly notifying Sales Hub if you become aware of unauthorized access to your account.
You are responsible for activity performed through your account unless the activity resulted from a security failure attributable to Sales Hub.
Sales Hub may suspend access where we reasonably believe an account has been compromised, is being misused, or presents a security risk.
4. Subscription and Fees
Certain features of Sales Hub may require a paid subscription.
Prices, subscription periods, included features, usage limits, and other commercial terms are displayed on the applicable quotation, order, invoice, subscription page, or agreement.
Unless otherwise stated, applicable taxes, duties, or government charges may be added where required by law.
Sales Hub may change its pricing for future subscription periods. Where appropriate, customers will be informed before new pricing applies to their renewal.
5. Automatic Renewal
Where a subscription is designated as automatically renewing, it will renew at the end of the applicable billing period unless cancelled before the renewal date.
The applicable subscription fee may be charged using the payment method associated with the account.
Cancellation prevents future renewal but does not ordinarily result in a refund for a subscription period that has already begun, except where required by applicable law or expressly agreed otherwise.
6. Implementation and Configuration
ERP systems may require configuration, customization, data import, training, integration, or implementation work.
Where Sales Hub provides such work, the specific scope, deliverables, fees, responsibilities, and timelines may be defined in a separate quotation, proposal, statement of work, or written agreement.
Implementation timelines may depend on the customer’s cooperation, availability of information, data quality, third-party systems, requested customizations, and other factors outside Sales Hub’s reasonable control.
7. Customer Data
You retain ownership of the business data, records, documents, and other content that you or your authorized users submit to the Platform (“Customer Data”).
You grant Sales Hub the limited rights necessary to host, process, transmit, back up, and otherwise handle Customer Data for the purpose of operating, maintaining, securing, supporting, and improving the Platform and providing the contracted services.
You are responsible for ensuring that you have the necessary rights and lawful basis to collect, upload, store, and process Customer Data through Sales Hub.
You are also responsible for the accuracy, quality, legality, and integrity of Customer Data supplied to the Platform.
8. Personal Data and Privacy
Sales Hub may process personal information in connection with providing the Platform.
Our collection and processing of personal information is also governed by our Privacy Policy and, where applicable, any separate data processing agreement entered into with a customer.
Customers using the Platform to process personal information relating to their own customers, employees, suppliers, or other individuals are responsible for complying with applicable data protection and privacy laws in connection with their use of that information.
9. Artificial Intelligence and Automation
Sales Hub may include artificial intelligence, automated workflows, recommendations, generated content, predictions, classifications, or other automated functionality (“AI Features”).
AI Features are provided to assist users and may occasionally produce inaccurate, incomplete, outdated, or unexpected results.
Users remain responsible for reviewing AI-generated or automated outputs before relying on them for business decisions or actions.
Sales Hub does not guarantee that AI-generated outputs will be accurate, complete, error-free, or suitable for a particular business purpose.
AI Features should not be treated as a substitute for professional legal, accounting, tax, financial, medical, regulatory, or other specialist advice.
10. Integrations and Third-Party Services
Sales Hub may integrate with third-party applications, payment providers, communication services, APIs, hosting providers, or other external systems.
Your use of third-party services may be governed by separate terms and privacy policies established by those providers.
Sales Hub is not responsible for interruptions, changes, errors, security incidents, data loss, or other issues caused by third-party services outside our reasonable control.
We may modify or discontinue an integration where the relevant third-party service changes, restricts, or terminates its functionality or access.
11. Acceptable Use
You must not use the Platform to:
Violate applicable laws or regulations;
Store or distribute unlawful, fraudulent, defamatory, or malicious material;
Infringe intellectual property or privacy rights;
Introduce viruses, malware, malicious code, or other harmful technology;
Attempt to gain unauthorized access to the Platform, accounts, servers, or systems;
Circumvent security measures, access restrictions, subscription limits, or technical controls;
Conduct unauthorized security testing or vulnerability scanning;
Use automated methods to overload, disrupt, scrape, extract, or interfere with the Platform;
Reverse engineer, decompile, reproduce, or attempt to derive the source code of the Platform except where such restriction is prohibited by applicable law;
Resell, sublicense, copy, or commercially exploit the Platform without written authorization from Sales Hub; or
Use the Platform in a manner that could materially harm Sales Hub, its infrastructure, customers, or other users.
Sales Hub may restrict or suspend accounts reasonably believed to be violating these requirements.
12. Intellectual Property
The Sales Hub Platform, including its software, interfaces, designs, workflows, branding, logos, documentation, databases, functionality, and other proprietary materials, is owned by or licensed to Sales Hub and is protected by applicable intellectual property laws.
Your subscription gives you a limited, non-exclusive, non-transferable right to use the Platform during the applicable subscription period in accordance with these Terms.
No ownership rights in the Platform or Sales Hub intellectual property are transferred to you.
Customer Data remains subject to Section 7 of these Terms.
13. Updates and Changes to the Platform
Sales Hub may periodically update, modify, improve, replace, add, or remove Platform functionality.
Such changes may be necessary for security, performance, regulatory compliance, technological development, third-party compatibility, or general product improvement.
We will make reasonable efforts to avoid changes that materially impair the core functionality of a customer’s active paid subscription without appropriate notice where reasonably practicable.
14. Availability and Maintenance
Sales Hub aims to provide reliable access to the Platform but does not guarantee uninterrupted or error-free availability.
The Platform may occasionally be unavailable because of maintenance, upgrades, security measures, technical failures, internet or hosting outages, third-party service interruptions, or circumstances beyond our reasonable control.
Where reasonably possible, planned maintenance that may materially affect service availability will be communicated in advance.
15. Backups and Data Export
Sales Hub may maintain backups as part of its normal operational and disaster-recovery procedures.
Customers should nevertheless maintain appropriate copies or exports of business-critical information where reasonably necessary for their operations.
Available data export capabilities may depend on the relevant subscription, module, data type, and technical limitations.
16. Suspension and Termination
Sales Hub may suspend or terminate access to the Platform where:
Subscription fees remain unpaid;
These Terms are materially violated;
The Platform is used unlawfully or fraudulently;
An account creates a material security or technical risk;
Continued service is prohibited by law or regulatory requirements; or
Suspension is reasonably necessary to protect Sales Hub, its customers, or its systems.
Where reasonably appropriate, Sales Hub may provide notice and an opportunity to resolve the issue before termination.
Customers may cancel their subscription according to the cancellation terms applicable to their plan or agreement.
17. Data Following Termination
Following termination or expiration of a subscription, access to the Platform and Customer Data may be restricted or discontinued.
Customers are responsible for exporting information they require before termination where export functionality is available.
Sales Hub may retain certain information following termination where necessary for backups, security, fraud prevention, legal compliance, dispute resolution, or other legitimate purposes permitted by applicable law.
Data that is no longer required may subsequently be deleted in accordance with Sales Hub’s applicable retention practices.
18. Refunds
Unless otherwise stated in a quotation, order, agreement, or mandatory law, subscription fees and payments already made are non-refundable once the relevant subscription period or contracted service has commenced.
Nothing in these Terms limits any refund or cancellation rights that cannot legally be excluded under applicable law.
19. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis.
While Sales Hub works to maintain a reliable, secure, and functional service, we do not warrant that the Platform will always be uninterrupted, error-free, or compatible with every third-party system or business requirement.
Customers are responsible for determining whether the Platform is appropriate for their particular operational requirements.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Sales Hub will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from the use of or inability to use the Platform.
Except where liability cannot legally be limited, Sales Hub’s aggregate liability arising from the Platform or these Terms will not exceed the amount paid by the customer to Sales Hub for the applicable subscription or service during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
21. Customer Responsibility for Business Decisions
Sales Hub is a business management technology platform.
The customer remains responsible for its business operations, accounting entries, financial records, employment decisions, inventory decisions, regulatory obligations, approvals, communications, and other actions taken using information available through the Platform.
Reports, calculations, AI outputs, dashboards, and automated processes should be reviewed where appropriate before being relied upon for significant business, financial, legal, or regulatory decisions.
22. Force Majeure
Sales Hub will not be responsible for delays or failures caused by events outside its reasonable control, including natural disasters, war, civil disturbances, governmental actions, internet or telecommunications failures, widespread cloud infrastructure outages, cyberattacks, power failures, or failures of essential third-party providers.
23. Changes to These Terms
Sales Hub may update these Terms from time to time to reflect changes to the Platform, applicable laws, security requirements, or business practices.
The updated version will be published on the Sales Hub website with a revised “Last Updated” date.
Where changes materially affect existing customers’ rights or obligations, reasonable notice may be provided where required or appropriate.
Continued use of the Platform following the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
24. Governing Law and Jurisdiction
These Terms are governed by the applicable laws of the United Arab Emirates, without prejudice to any mandatory legal protections that may apply.
Unless otherwise required by applicable law or agreed in writing, disputes arising from or relating to these Terms or the use of Sales Hub shall be subject to the jurisdiction of the competent courts of the United Arab Emirates.
25. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
26. Entire Agreement
These Terms, together with any applicable quotation, order form, subscription agreement, Privacy Policy, data processing agreement, or other written agreement between Sales Hub and the customer, constitute the agreement governing the customer’s use of the Platform.
Where a separately signed agreement expressly conflicts with these Terms, the separately signed agreement will prevail to the extent of that conflict.
